Yobe Solutions provides a marketing and reputation management platform designed to help businesses strengthen their online presence and automate customer engagement. Our Services may include, but are not limited to:

Review reactivation campaigns

Reputation monitoring dashboards

These Legal Terms constitute a legally binding agreement between you, whether personally or on behalf of an entity ("Client," "you," or "your"), and YOBE SOLUTIONS LLC, concerning your access to and use of the Services.

By accessing or using the Services, you confirm that you have read, understood, and agreed to be bound by these Terms.

IF YOU DO NOT AGREE WITH THESE TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES.

The Services are intended for individuals who are at least 18 years old.

1. OUR SERVICES

The Services provided through Yobe Solutions are intended to assist businesses in managing their reputation, automating customer review requests, and improving their online visibility.

Our platform allows Clients to:

Send automated review requests to their customers

Monitor incoming reviews across supported platforms

Generate AI-assisted responses to customer reviews

Track reputation metrics through dashboards and alerts

Reactivate past customers for additional feedback

Integrate their systems with third-party platforms such as Google Business Profile, Zapier, and CRM systems

The Services are intended solely for lawful business purposes.


2. INTELLECTUAL PROPERTY RIGHTS

All intellectual property rights in the Services are owned by or licensed to Yobe Solutions LLC.

This includes:

source code

software architecture

website designs

graphics

logos

trademarks

marketing systems

automation workflows

Clients are granted a limited, non-exclusive, non-transferable license to access and use the Services for internal business purposes.

You may not:

copy

distribute

resell

reverse engineer

exploit

any portion of the Services without prior written permission.


3. USER REPRESENTATIONS

By using the Services, you represent and warrant that:

all information you provide is accurate and current

you have the legal authority to enter into this agreement

your use of the Services complies with applicable laws and regulations

you will not use the Services for unlawful or fraudulent activities


4. USER REGISTRATION

To access certain features of the Services, you may be required to create an account.

You are responsible for:

maintaining the confidentiality of your login credentials

all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms.


5. PURCHASES AND PAYMENT

Payments for Services may be processed through third-party payment providers including Stripe.

By purchasing Services, you agree to provide accurate billing information and authorize recurring charges where applicable.

All prices are listed in U.S. dollars and may be modified at any time.


6. SUBSCRIPTIONS

Many of our Services operate on a subscription basis.

Subscriptions automatically renew unless canceled.

You may cancel your subscription according to the procedures provided within your account or by contacting support.


7. PROHIBITED ACTIVITIES

Users may not use the Services to:

violate any applicable law or regulation

send unsolicited or unlawful communications

distribute malware or malicious software

access the Services through unauthorized automated systems

interfere with the operation of the platform

misuse customer data

Violation of these rules may result in account suspension or termination.


8. THIRD-PARTY INTEGRATIONS

Zapier

SMS messaging providers

email delivery services

analytics tools

These platforms operate independently from Yobe Solutions.

We are not responsible for changes, outages, or actions taken by third-party providers.


9. PRIVACY POLICY

10. TERM AND TERMINATION

These Terms remain in effect while you use the Services.

Yobe Solutions may suspend or terminate accounts for:

violations of these Terms

unlawful conduct

misuse of the platform

The Client may terminate their subscription or stop using the Services at any time. This can typically be done by using the account settings on the Yobe Solutions platform to cancel the subscription or by providing written notice to Yobe Solutions (such as an email to [email protected]) expressing the desire to terminate. Unless otherwise specified, termination by the Client will be effective at the end of the current billing period for which payment has been made.

Termination or Suspension by Yobe Solutions:

Yobe Solutions LLC reserves the right to suspend or terminate the Client’s access to the Services, in whole or in part, under the following circumstances: If the Client breaches any material term of these Terms (including non-payment of fees, violating messaging rules, or misuse of the Service) and does not cure that breach within a reasonable time after notice (if a cure is possible). If the Client is using the Service in a manner that violates any law or regulation, or that materially infringes upon the rights of others (for example, sending messages without consent, or using the Service to harass individuals). If the Client’s use of the Service poses a security risk to the platform or any third party, or if it could subject Yobe Solutions or any third party to liability (e.g., a malware or hacking attempt originating from the Client’s account). If the Client is abusing the platform (for instance, by attempting to send an unreasonable volume of messages far beyond normal business practice, or by attempting to probe or disrupt Yobe Solutions' systems). If required by law or at the request of government authorities (for example, if a court order or regulatory action requires shutting down the Client’s activity). In most cases, Yobe Solutions will attempt to provide notice to the Client of any suspension or termination, stating the reason and effective date. However, in urgent cases (such as flagrantly illegal activity or security threats), Yobe Solutions may suspend access immediately without prior notice.

Effect of Termination: Upon termination of the Services (whether by Client or by Company), the Client’s right to access or use the Services will cease. Yobe Solutions will stop any further scheduled or automated communications to End Customers on the Client’s behalf.


11. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to modify or discontinue the Services at any time.

We do not guarantee uninterrupted service availability.

Temporary interruptions may occur due to maintenance or third-party service disruptions.


12. GOVERNING LAW

These Terms shall be governed by and interpreted according to the laws of the State of Florida, United States.


13. DISPUTE RESOLUTION

Any dispute arising from these Terms shall be resolved through binding arbitration in Walton County, Florida.

Both parties waive the right to participate in class action lawsuits.


14. DISCLAIMER

The Services are provided “AS IS” and “AS AVAILABLE.”

We make no guarantees regarding:

marketing results

review volume

business outcomes

Use of the Services is at your own risk.


15. LIMITATIONS OF LIABILITY

To the fullest extent permitted by law, Yobe Solutions shall not be liable for:

indirect damages

lost profits

lost revenue

loss of data

reputational harm

Total liability shall not exceed the lesser of:

the amount paid in the prior one month, or

$500.00 USD.


16. INDEMNIFICATION

The Client acknowledges that Yobe Solutions provides a technology platform only and does not control the content, recipients, or timing of communications sent by the Client.

Accordingly, the Client agrees that:

Yobe Solutions shall not be liable for any claim brought by an End Customer relating to communications sent by or on behalf of the Client through the platform.

This includes, but is not limited to, claims involving:

unsolicited SMS messages

unsolicited email communications

alleged violations of TCPA, CAN-SPAM, or other communication laws

privacy complaints

consumer protection claims

The Client agrees to defend, indemnify, and hold harmless Yobe Solutions LLC, its officers, employees, contractors, and affiliates from any claim, demand, liability, or legal action brought by an End Customer arising out of:

communications sent by the Client through the platform

failure to obtain consent

misuse of the Services

violations of communication or privacy laws

The Client further agrees that End Customers are not third-party beneficiaries of this agreement and have no rights to enforce these Terms against Yobe Solutions.

Any disputes arising from communications sent through the platform are solely between the Client and the End Customer.


17. USER DATA

We may store data transmitted through the Services for the purpose of operating and improving the platform.

Clients remain responsible for maintaining their own backups of important data.


18. ELECTRONIC COMMUNICATIONS

By using the Services, you consent to receive communications electronically, including:

service notices

billing notifications

system updates


19. SMS TEXT MESSAGING

Clients may use the platform to send SMS messages to their customers.

By using these features, Clients agree that:

they have obtained proper consent from recipients before sending SMS messages

they will comply with laws including the Telephone Consumer Protection Act (TCPA) and related messaging regulations

recipients must be able to opt out by replying STOP

Message and data rates may apply.

Yobe Solutions provides the messaging platform but does not control client messaging behavior.

Carriers are not liable for delayed or undelivered messages.


20. DEFINITIONS

Company: Yobe Solutions LLC
Client: A business or individual using the Services
End Customer: A customer of the Client receiving communications
Services: Automation tools, review request systems, and marketing technology provided by Yobe Solutions


21. SCOPE OF SERVICES

Yobe Solutions provides technology tools to assist businesses with customer engagement and reputation management.

Our Services may include:

automated review requests

reputation monitoring dashboards

review response assistance

customer reactivation campaigns

Yobe Solutions does not control or guarantee the outcome of review requests or marketing campaigns.


22. CLIENT CONSENT AND TCPA COMPLIANCE

The Client represents and warrants that it has obtained all legally required consent from any End Customer before sending communications through the Yobe Solutions platform.

This includes, but is not limited to, compliance with:

The Telephone Consumer Protection Act (TCPA)

The CAN-SPAM Act

The California Consumer Privacy Act (CCPA)

Any applicable state or international messaging or privacy regulations

The Client acknowledges and agrees that:

Yobe Solutions does not originate marketing communications and acts solely as a technology platform that enables Clients to communicate with their own customers. The Client is solely responsible for ensuring that each End Customer has explicitly opted in to receive SMS messages, emails, or other electronic communications prior to any message being sent. The Client must maintain verifiable records of consent for all recipients contacted through the platform. The Client must immediately honor any opt-out or unsubscribe request received from an End Customer. The Client must ensure that all communications sent through the platform include any legally required disclosures, including opt-out instructions where applicable. Yobe Solutions does not verify consent records and relies entirely on the Client’s representations that such consent has been lawfully obtained.

Any failure by the Client to obtain proper consent shall be the sole responsibility of the Client.


23. MESSAGING CONTENT & AUTOMATION

Clients authorize Yobe Solutions to send automated messages to their customers on their behalf using preconfigured templates and schedules.

Clients may customize message content and timing.

Clients remain fully responsible for the legality and accuracy of any messaging sent through the platform.


24. DATA USE & STORAGE

We retain personal information only as long as necessary to:

provide Services

maintain active accounts

comply with legal obligations

resolve disputes

Data may remain in backups or archives for a limited time after account closure.


25. SERVICE LIMITATIONS & NO GUARANTEES

Yobe Solutions does not guarantee:

specific marketing results

the number of reviews generated

customer engagement outcomes

The platform provides tools that assist businesses but outcomes depend on customer participation.


26. MARKETING AND PUBLICITY RIGHTS

Clients grant Yobe Solutions permission to use their business name, logo, and publicly available results for marketing purposes including:

case studies

testimonials

promotional materials

Clients may request removal from marketing materials by contacting support.


27. MISCELLANEOUS

These Terms constitute the entire agreement between the Client and Yobe Solutions.

If any provision is found unenforceable, the remaining provisions remain in effect.
